These Terms of Service ("Terms") govern your access to and use of beatsquadentertainment.com (the "Site") operated by Beat Squad Entertainment ("Beat Squad," "we," "our," or "us"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. About These Terms
These Terms cover your use of the Site only. They do not form a contract for DJ or event services. If you book an event with Beat Squad, the terms and conditions of that booking are set out in a separate event services agreement that you will receive and sign before your event.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to submit an inquiry through the Site or otherwise enter into agreements with us.
3. Acceptable Use
You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:
- Use the Site to transmit any content that is unlawful, defamatory, harassing, or otherwise objectionable;
- Submit false or misleading information through any form on the Site;
- Use automated tools (bots, scrapers, crawlers) other than well-behaved search engine crawlers, without our written permission;
- Attempt to access non-public areas of the Site or our systems, or to interfere with or disrupt the Site;
- Reverse engineer, decompile, or attempt to extract the source code of the Site; or
- Use the Site to compete with Beat Squad or to develop a competing product or service.
4. Intellectual Property
The Site and its content — including but not limited to text, graphics, logos, photos, audio, video, layout, design, and code — are owned by or licensed to Beat Squad Entertainment and are protected by copyright, trademark, and other intellectual property laws. The "Beat Squad" name, the Beat Squad logo, and the names and likenesses of the DJs on our roster are trademarks or property of their respective owners. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any portion of the Site without our prior written permission, except that you may view, download, and print pages for your personal, non-commercial use related to inquiring about or planning an event with Beat Squad.
5. Submissions and Communications
When you submit an inquiry through the Site or otherwise communicate with us, you grant Beat Squad a limited, royalty-free, worldwide license to use your submission for the purpose of responding to and fulfilling your request. You represent and warrant that you own or have the rights to all information you submit, and that the submission does not violate any third-party rights or any law.
6. No Guarantee of Availability
Submitting an inquiry through the Site does not constitute a contract or guarantee of availability. Bookings are confirmed only when both parties have signed an event services agreement and the required deposit has been received. Until that point, dates are not held and pricing is not binding.
7. Third-Party Content and Links
The Site may contain links to third-party websites, video embeds (YouTube, Vimeo, etc.), and references to venues, vendors, and clients. These are provided for informational purposes. Beat Squad is not responsible for the content, accuracy, or practices of any third-party site or service.
8. Disclaimers
The Site and all content on it are provided "as is" and "as available" without warranties of any kind, whether express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. Pricing, package details, DJ rosters, venue lists, testimonials, and other content may change without notice. To the fullest extent permitted by law, Beat Squad disclaims all warranties with respect to the Site.
9. Limitation of Liability
To the maximum extent permitted by law, Beat Squad and its owners, employees, contractors, DJs on our roster, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Site, your inability to use the Site, or any content on the Site. Beat Squad's total liability for all claims arising from or related to the Site is limited to the greater of $100 or the amount you have paid Beat Squad in the twelve months preceding the claim.
This limitation does not affect any rights you may have under your separate event services agreement, which has its own liability and dispute terms.
10. Indemnification
You agree to defend, indemnify, and hold harmless Beat Squad and its owners, employees, contractors, and affiliates from and against any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party right.
11. Termination
We may suspend or terminate your access to the Site at any time, for any or no reason, with or without notice. Sections of these Terms that by their nature should survive termination — including without limitation Sections 4, 5, 8, 9, 10, 12, 13, and 14 — will survive.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-law principles. Any dispute arising under or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
14. Miscellaneous
These Terms are the entire agreement between you and Beat Squad regarding your use of the Site and supersede any prior agreements on that subject. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining Terms will remain in effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
